SigmaRoc buys Lithuanian Dolomitas for €110m and adds a Klaipėda port foothold

London-listed minerals group SigmaRoc has agreed to acquire Lithuanian dolomite producer AB Dolomitas for €110 million, strengthening a Baltic platform that already includes operations in Lithuania, Latvia and Estonia.

A further €8 million will be paid for non-core assets linked to the business.

Dolomitas produces around 3.5 million tonnes of dolomite annually and has approximately 25 years of identified reserves and resources, with the potential to secure enough additional resources for roughly another 20 years.

The company reported €70 million in revenue and €18 million in EBITDA in 2025, giving it an EBITDA margin above 25%.

SigmaRoc will pay €90 million of the main acquisition price in cash and €20 million in its own shares. The transaction is expected to close in the fourth quarter of 2026, subject to regulatory approvals.

The additional assets add another dimension to the deal. They include industrial land near the Port of Klaipėda which SigmaRoc says could be developed for importing or exporting aggregates and for other processing activities.

That makes the acquisition more than a takeover of a Lithuanian quarrying business. SigmaRoc is combining mineral reserves, production, road and rail logistics and potentially port access inside an existing three-country Baltic platform.

Dolomitas will become an integrated business unit of that platform after completion.
