Lithuanian regulator clears €200m acquisition of Ozas shopping centre

Lithuania’s Competition Council has cleared Prosperus Retail Property Fund to acquire the companies controlling the Ozas shopping and entertainment centre in Vilnius.

The transaction values Ozas at €200 million. Prosperus signed the acquisition agreement with NEPI Rockcastle in September, with the deal expected to be financed through fund equity and a €135 million syndicated loan from SEB and OP.

Ozas has around 70,600 square metres of leasable space and about 200 retail and service operators. It will become the first major retail asset in the Prosperus fund’s portfolio.

The Competition Council concluded that the transaction would neither create or strengthen a dominant position nor significantly restrict competition. Its formal decision was adopted on 2 October and published on 5 October.

For seller NEPI Rockcastle, the transaction also marks its planned exit from the Baltic real-estate market. Completion had previously been expected in the fourth quarter of 2026, subject to regulatory and other closing conditions.
